1. Agreement to Terms

By accessing or using Simple Reso ("the Service"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

Simple Reso provides a reservation management platform for restaurants. Our Service includes online booking widgets, dashboard management, guest tracking, and analytics tools. We act solely as a technology provider and do not participate in the restaurant-guest relationship.

3. Your Data, Your Customers

You retain full ownership and control of all customer data collected through our platform. We process this data solely to provide the Service to you. Upon account termination, you may request a complete export of your data, and we will delete all customer data from our systems.

4. Account Registration

To use the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your password and for all activities that occur under your account.

5. Subscription and Payment

Simple Reso offers subscription plans billed monthly. Your subscription will automatically renew unless you cancel before the renewal date. We do not charge commissions or per-cover fees. All fees are clearly displayed before you subscribe.

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We do not offer refunds for partial billing periods.

6. Acceptable Use

You agree not to use the Service for any unlawful purpose or in any way that could damage, disable, or impair the Service. You may not attempt to gain unauthorized access to any part of the Service or any systems connected to the Service.

7. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

8. Limitation of Liability

To the maximum extent permitted by law, Simple Reso shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Service.

9. Intellectual Property

The Service, including its software, design, branding, and content (excluding your data), is owned by Simple Reso and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service and to embed our booking widget on your own website for the duration of your subscription. You may not copy, modify, resell, or reverse-engineer the Service.

10. Restaurant Responsibilities

As the operator of your restaurant and the controller of your guest data, you are responsible for:

• Ensuring you have the right to collect and process guest information through the Service, including obtaining any required consent.
• Maintaining the accuracy of your restaurant settings, availability, and confirmation messages shown to diners.
• Honoring reservations made through the Service and communicating directly with your guests about their bookings.
• Keeping your account credentials and any manager PIN secure.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

12. Indemnification

You agree to indemnify and hold harmless Simple Reso and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party, including your guests.

13. Termination

You may cancel your account at any time from your billing settings. We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay applicable fees, or use the Service unlawfully. Upon termination, your right to use the Service ends, and you may request an export of your data as described in our Privacy Policy.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which Simple Reso operates, without regard to conflict-of-law principles. Before pursuing formal action, you agree to first attempt to resolve any dispute with us informally by contacting us. Any disputes that cannot be resolved informally will be handled in the competent courts of that jurisdiction.

15. Severability & Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Simple Reso regarding the Service and supersede any prior agreements.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes via email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
